Arbitration of Disputes / Exclusive Binding Arbitration Agreement
The Credit Repair Shop
In the event of any controversy, claim, dispute, complaint, allegation, statutory claim, tort claim, contract claim, consumer protection claim, billing dispute, refund request, cancellation dispute, privacy dispute, data dispute, marketing dispute, service complaint, or disagreement of any kind between the Client/Consumer and The Credit Repair Shop, including but not limited to any matter arising out of or relating to this Agreement, any services provided, any representations made, performance of services, payments, fees, collections, credit reporting disputes, debt settlement matters, communications, interpretation, formation, validity, enforceability, unconscionability, breach, termination, or the scope or applicability of this arbitration provision, such controversy shall be resolved solely and exclusively through final and binding arbitration, and through no other forum.
Exclusive Arbitration Requirement
Both parties expressly agree that all disputes of every kind must be submitted to binding arbitration only, and that no claim may be filed, maintained, or pursued in any court, tribunal, or governmental adjudicative forum except solely for the ministerial purpose of confirming or enforcing an arbitration award where required by law.
Mandatory Wisconsin Venue
The parties expressly agree that the exclusive venue and seat of arbitration shall be Milwaukee County, State of Wisconsin, regardless of the Client/Consumer’s place of residence, place of signing, place of payment, or location where services were performed. The Client/Consumer agrees to personally appear in the State of Wisconsin for any in-person arbitration hearing if required by the arbitrator or arbitration administrator.
The Credit Repair Shop may, at its sole discretion, agree to permit telephone appearance, video appearance, or submission by written documents, but shall have no obligation to do so.
Arbitration Administrator
Arbitration shall be administered by the American Arbitration Association (“AAA”), JAMS, or another nationally recognized arbitration provider selected by The Credit Repair Shop, under the consumer arbitration rules then in effect, except where those rules conflict with this Agreement, in which case this Agreement shall control to the fullest extent permitted by law.
Governing Law
This arbitration provision shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16) and, where not inconsistent therewith, the laws of the State of Wisconsin, without regard to conflict of law principles.
Arbitrator Decides All Threshold Issues
The arbitrator, and not any court or agency, shall have the exclusive authority to determine all threshold and gateway issues, including but not limited to formation, existence, validity, enforceability, interpretation, unconscionability, scope, applicability, waiver, and whether any dispute is subject to arbitration.
Waiver of Jury Trial / Judicial Proceedings
By agreeing to this provision, both parties knowingly and voluntarily waive any right to trial by jury, judge, or participation in any judicial proceeding regarding any claim covered by this Agreement.
Individual Claims Only / No Class Actions
All claims shall be brought only in the individual capacity of the parties and not as a class member, representative plaintiff, collective claimant, private attorney general, or participant in any mass action or coordinated proceeding.
The arbitrator shall have no authority to hear or consolidate multiple persons’ claims, preside over any class proceeding, or award relief to any person not individually named in the arbitration.
Remedies Available
The arbitrator may award any remedy available under applicable substantive law on an individual basis, including damages, restitution, declaratory relief, injunctive relief where permitted, costs, and attorney’s fees if expressly authorized by law or contract.
Costs of Arbitration
The Client/Consumer shall be responsible for travel, lodging, transportation, and personal appearance costs associated with attendance in Wisconsin. Arbitration filing and administrative fees shall be allocated as determined by the arbitration rules or arbitrator.
Confidentiality
All arbitration proceedings, filings, testimony, evidence, rulings, and awards shall remain strictly confidential except as necessary to conduct the arbitration, enforce an award, comply with legal obligations, or obtain professional advice.
Survival
This arbitration agreement shall survive cancellation, rescission, termination, completion of services, nonpayment, account closure, bankruptcy, or any cessation of the relationship between the parties.
Severability
If any portion of this arbitration clause is held unenforceable, that portion shall be severed and the remaining provisions shall remain in full force and effect, with the intent that arbitration remain the exclusive dispute resolution mechanism to the maximum extent permitted by law.
Acknowledgment
By signing this Agreement or using services from The Credit Repair Shop, the Client/Consumer acknowledges that they understand and agree that all disputes must be resolved exclusively through binding arbitration in Milwaukee County, Wisconsin.
